Terms of Service

These Terms of Service ("Terms") govern the website design and development services ("Services") provided by sitevine ("we," "us," "our"), a sole proprietorship based in Singapore, to you ("Client," "you"). By engaging sitevine for Services, you agree to these Terms.

1. Scope of Services

sitevine provides brochure and promotional website design and development for small businesses. Our Services do not include e-commerce functionality, payment gateway integration, or online stores, unless separately agreed in writing and priced accordingly.

The specific scope of work for your project (pages, features, and deliverables) will be confirmed with you before work begins, either via written quotation, invoice, or messaging confirmation.

2. Quotation and Pricing

All prices quoted are in Singapore Dollars (SGD) and are valid for 14 days from the date of quotation unless otherwise stated. Our base pricing covers the standard scope described in the quotation. Any request outside this scope (additional pages, custom functionality, e-commerce, or significant design changes) will be billed separately at our standard rates.

3. Payment Terms

Payment is collected in two instalments:

Payment is made via PayNow. Work will not begin until the upfront payment is received, and final assets (domain access, Cloudflare account, and code repository) will not be transferred until the final payment is received in full.

We reserve the right to pause or terminate work if payment is not received within 14 days of the due date.

4. Revisions

Each project includes two (2) rounds of revisions during the design and build phase. A "round" means a single consolidated set of feedback submitted by the Client. Revisions requested beyond this, or revisions requested after final approval and launch, will be billed at our post-launch hourly rate (see Section 5).

5. Post-Launch Changes

Once a website has been approved by the Client and launched, any further changes, edits, or updates are billed at SGD $60 per hour, with a minimum charge of 30 minutes per request. This applies to all post-launch work, including minor text or image changes.

6. Ownership and Intellectual Property

Until final payment is received in full, all design files, code, and work product remain the property of sitevine.

Upon receipt of final payment, ownership of the completed website, including the source code, transfers to the Client. The Client will receive full access to:

sitevine retains the right to showcase completed projects in its portfolio and marketing materials, including screenshots and links to the live site, unless the Client requests otherwise in writing.

Where the Client supplies content (text, images, logos, branding materials) for use on the website, the Client warrants that they own the rights to use this content or have obtained the necessary permissions, and the Client indemnifies sitevine against any third-party claims arising from the use of such content.

7. Hosting and Domain

Websites built by sitevine are deployed using Cloudflare Pages, a free hosting service, and connected to a custom domain (if purchased). sitevine does not charge ongoing hosting fees. Where sitevine assists with domain registration on the Client's behalf, a custodian fee may apply to cover administrative time, in addition to the actual domain and any associated costs.

sitevine is not responsible for any downtime, outages, or issues arising from third-party services (including Cloudflare, domain registrars, or other infrastructure providers) that are outside our control.

8. Client Responsibilities

The Client agrees to provide timely feedback, content, and approvals required for sitevine to complete the project. Delays caused by the Client (including delayed content submission or unresponsive communication) may extend the project timeline and are not the responsibility of sitevine.

9. Cancellation

If the Client cancels a project after the upfront payment has been made but before completion, the upfront payment is non-refundable, as it covers work already commenced and time allocated to the project. If sitevine is unable to deliver the agreed Services, a partial or full refund of the upfront payment will be considered on a case-by-case basis.

10. Limitation of Liability

sitevine provides website design and development services on an "as is" basis. We do not guarantee specific business outcomes, search engine rankings, or traffic results from the website. To the fullest extent permitted by law, sitevine's total liability arising from any project shall not exceed the total amount paid by the Client for that project.

sitevine is not liable for any indirect, incidental, or consequential damages, including loss of business, revenue, or data, arising from the use of the website or our Services.

11. Termination

Either party may terminate an engagement with written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 days of written notice. Sections relating to payment for work completed, ownership, and limitation of liability survive termination.

12. Governing Law

These Terms are governed by the laws of Singapore. Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of Singapore.

13. Changes to These Terms

We may update these Terms from time to time. The most current version will always be available on our website. Continued engagement of our Services after changes are posted constitutes acceptance of the updated Terms.
